2023 Earnings Distribution
The earnings distribution proposal, consistent with the Company’s current dividend policy, proposes an ordinary dividend distribution of 60.0% of Ecopetrol’s Net Income in 2023, equivalent to COP 278 per share.
Additionally, the Board of Directors of the Company, taking into consideration the solid operating and financial performance in all of Ecopetrol´s business lines, is also proposing an extraordinary dividend of 7.3% of Ecopetrol’s Net Income in 2023, equivalent to COP 34 per share, for a cumulative total dividend of COP 312 per share, which distribution would be the second highest in the Company´s history.
The payment of the ordinary and extraordinary dividend to minority shareholders will be made in two installments of equal value, on the following dates: April 3, 2024 and June 26, 2024.
The payment to the majority shareholder will be made during the course of the year and in any case before December 31, 2024, taking into account the payment schedule of the balance of the debt of the Fuel Price Stabilization Fund (FEPC) accrued during 2023, which is owed by the majority shareholder to Ecopetrol.
Among the points submitted for consideration by the highest corporate body, stands out the approval by ~95.42% of the shares represented, of the management’s proposal on the distribution of profits, which establishes the distribution of an ordinary dividend of four hundred and eighty-seven pesos (COP $ 487) per share and an extraordinary dividend, equivalent to one hundred and six pesos (COP $ 106) per share, for a total dividend of five hundred and ninety-three pesos (COP $ 593) per share. This dividend is the highest in history, equivalent to a total distribution of COP$24,382,199,951,286.
The dividend payment to minority shareholders will be made in three equal installments, as follows: April 27, September 28 and December 21, 2023. In the case of dividends to be paid to the majority shareholder, the plan is to offset the dividends to be paid to the majority shareholder against the balance of the account receivable from the majority shareholder, in relation to the Fuel Price Stabilization Fund (FEPC) for the second, third and a portion of the fourth quarter of 2022, no later than December 31, 2023.
Partial Distribution of occasional reserve and modification of the dividend payment schedule for the majority shareholder
Ecopetrol S.A. (BVC: ECOPETROL; NYSE: EC) (“Ecopetrol” or the “Company”) announces that, at the Extraordinary General Shareholders' Meeting held on June 17, 2022, the Company’s Shareholders approved the modification of the:
i) deadline for the payment of dividends to the Nation, approved in the ordinary session of March 30, 2022, from September 30 to October 31, 2022.
ii) change in the destination of the Company's occasional reserve that had been constituted in the General Shareholder’s Meeting held on past March 30, in order to distribute it as an extraordinary dividend of one hundred and sixty-eight Colombian pesos per share (COP$168), as follows:
The payment of the dividend for minority shareholders will be made in a single installment on June 30, 2022, and for the majority shareholder, the total dividend payment will be offset with the receivable account within the Fuel Price Stabilization Fund (FEPC for its acronym in Spanish) with Ecopetrol S.A. no later than June 30, 2022, in accordance with the provisions of Paragraph 2 of Article 90 of Law 2159 of 2021.
